Energy Finance

The corporate finance team at Bond Pearce has an enviable track record of advising on the financing of energy projects. The practice covers a broad range of clients from oil and gas start up companies to majors and from early stage device developers in the marine renewable space through to the major utilities.

Our renewable energy sector experience includes project financing, joint venture arrangements for some of the country's largest energy projects (including a number of the Round 1 and Round 2 offshore projects), bidders for the Round 3 projects on their bids and their positions under the proposed same development documents. We have frequently advised on buying and selling of renewable energy projects and have acted on the acquisition or disposal of more than 30 such projects with a combined capacity in excess of 3.5GW. Examples of the projects that we have been involved in include Project Zephyr, which involved the transfer and financing of 17 operational wind farms (16 onshore and 1 offshore) by means of a fund based mechanism and the purchase of a 50% interest in the Greater Gabbard offshore wind project (504MW) where we advised RWE Npower Renewables on a transaction with a value of over £308 million.

In oil and gas, we have acted on a significant number of corporate transactions including projects in Angola, Azerbaijan, Czech Republic, Guatemala, Poland and Sierra Leone. Recent experience has included acting on the Sale of Tullow Oil UK Limited to Eni UK Limited for £210m.

A particular feature of our practice in recent years has been to work with clients on the structuring and implementation of reorganisations of their groups of companies. We work as part of the wider team of professional advisers and our in depth knowledge of the sector allows us to add real value to the process.

The corporate finance team works closely with members of our tax, regulatory, real estate, consenting and construction and procurement teams and our clients tell us that the resource that Bond Pearce brings to transactions is a significant factor in them choosing to instruct us.

We also act in competitive bid situations for projects and assets, whether for sellers or purchasers. Our long track record in the sector means that we are very close to the market and brings the advantage of in many cases having created the market practice for buying and selling of projects. We provide proactive advice to resolve issues and most importantly retain the value in the underlying project.
