When acting for buyers or investors, the first step is always to understand the key drivers for the deal and the target’s key assets.  Our due diligence reviews are then tailored to meet a client’s needs, and can range from a comprehensive legal review to a focused review of certain identified areas carried out in conjunction with a client’s own due diligence exercise.  Findings are used to inform investment decisions, whether in relation to price or post-completion integration priorities.

When working with sellers, our aim is to identify those issues which are likely to hinder the exit process or impact on price.  Clients use the exercise to prepare for sale and maximise proceeds.  Our virtual and traditional data rooms are effective and we provide vendor due diligence reports where appropriate.

Our due diligence teams can operate as part of our complete transaction teams or on a stand alone basis.  Increasingly, we are seeing clients turn to us for cost-effective due diligence solutions, including working with Magic Circle law firms to deliver transaction support to clients in the way they want.
