With strength and depth, we can comfortably manage and support clients’ M&A strategies.  Our M&A work sees us regularly guiding a wide range of clients through acquisitions, disposals and competitive bids of all types.  The team regularly act as project managers and take a hands-on approach to transaction management.  We will build a bespoke team to fit the client and the transaction, drawing on specialist legal expertise as required to solve the often complex legal issues raised by M&A transactions.  Typically that specialist legal expertise will include real estate, pensions, employment, tax, intellectual property, competition and regulatory lawyers. Our multi-disciplinary deal teams understand the importance of timely, seamless and cost-effective service.

We have a healthy roster of corporates and others with whom we are working on repeat M&A transactions.  We prize long-term relationships with clients.  Our focus is to build deep and lasting relationships with client teams, understanding how they approach deals and in some cases developing a bespoke suite of M&A documents.

Our ability to handle mid market acquisitions efficiently and often with a pre-planned structure and process designed with the client sets us apart.  

Whilst we advise on M&A across a broad range of industry sectors, what really makes us stand out from our competitors is the knowledge we have from the firm’s key sectors including financial services, oil and gas, renewable energy, retail, hospitality and leisure and real estate.  This allows us to spot the critical issues quickly and get straight to the key negotiating points, saving clients time and cost.

  • Aurelian Oil & Gas plc on the sale of Aurelian Oil & Gas Romania S.R.L to Raffles Energy Netherlands B.V
  • Harris Jayanti Group on its acquisition of Keith Spicer Limited, a significant UK tea supplier, from Laurens Spethmann Holding AG & Co KG
  • shareholders of Ticketscript BV on the acquisition of Ticketscript BV by Trinity Mobile Limited. 
  • Chemring Group plc on all of its UK based M&A deals including the recent £55 million acquisition of Roke Manor Research Ltd from Siemens Holdings Plc
  • NICE Systems UK Limited in relation to a number of transactions over the last three years including the US$280 million acquisition of Actimize Ltd, a provider of transactional risk management software to the financial services industry
  • advising LV= on a disposal programme including the winding down of Liverpool Victoria Banking Services Limited (LVBS).  The work included the sale of its credit card book to a specialist debt recovery business and the sale of the LV= loan book to Wesleyan Bank Limited
  • Renewable Energy Systems Limited on UK corporate matters including the recent acquisition of the remaining share capital of Future Heating Limited and the acquisition of PV Systems, one of the country’s leading building-integrated solar photovoltaic companies
  • Tullow Oil plc on the sale of its subsidiary Tullow Oil UK Limited to Eni for £210m
  • VT Group plc on the disposal of its Naiad business
  • the shareholders on their sale of Ringwood Brewery Limited
